Chinese materia medica genetic resources are important biological and health resources. With the increasing reliance on Chinese materia medica genetic resources in various fields, bio-piracy against Chinese materia medica genetic resources is becoming more and more frequent and has posed a threat to China’s ecological security and the rights of people’s lives and health. However, the system of the source disclosure of genetic resources established by China’s Patent Law, as well as the use of contractual mechanisms to achieve access to Chinese materia medica genetic resources and benefit-sharing, are both inadequate and unable to effectively deal with the problem of bio-piracy. Therefore, in order to safeguard the rights and interests,China, as a party to the Convention on Biological Diversity and the Nagoya Protocol, should formulate or improve the domestic laws following the legal rules established by the above-mentioned international treaties and China’s national conditions. Related initiatives may include taking the source disclosure as a formal condition for the patent grant, expanding the target and scope of the disclosure, and imposing legal liability for defect disclosure; clarifying the subjects of rights to Chinese materia medica genetic resources, and introducing public authority to “monitor” the signing and implementation of contracts to ensure fair and equitable benefit-sharing.

中药遗传资源是重要的生物资源和卫生资源。随着各领域对中药遗传资源的依赖度不断提高,中药遗传资源的生物剽窃越来越频繁,已经对我国生态安全和人们生命健康权益造成威胁。然而,我国《专利法》确立的遗传资源来源披露制度以及利用合同机制实现中药资源获取和惠益分享制度均有欠缺,不能有效应对生物剽窃问题。因此,为维护我国权益,我国作为《生物多样性公约》和《名古屋议定书》的缔约国,应当参照上述国际条约确立的法律规则并根据我国国情制定或完善国内相关制度,相关举措可包括将来源披露作为专利授权的形式条件,扩大披露的对象和范围,并对不实披露行为追究法律责任;明确中药遗传资源权利主体,并引入公权力对合同的签订和履行过程予以“监测”,以保证公正、公平的惠益分享。

中药遗传资源是重要的生物资源和卫生资源。随着各领域对中药遗传资源的依赖度不断提高,中药遗传资源的生物剽窃越来越频繁,已经对我国生态安全和人们生命健康权益造成威胁。然而,我国《专利法》确立的遗传资源来源披露制度以及利用合同机制实现中药资源获取和惠益分享制度均有欠缺,不能有效应对生物剽窃问题。因此,为维护我国权益,我国作为《生物多样性公约》和《名古屋议定书》的缔约国,应当参照上述国际条约确立的法律规则并根据我国国情制定或完善国内相关制度,相关举措可包括将来源披露作为专利授权的形式条件,扩大披露的对象和范围,并对不实披露行为追究法律责任;明确中药遗传资源权利主体,并引入公权力对合同的签订和履行过程予以“监测”,以保证公正、公平的惠益分享。

Chinese materia medica genetic resources are important biological and health resources. With the increasing reliance on Chinese materia medica genetic resources in various fields, bio-piracy against Chinese materia medica genetic resources is becoming more and more frequent and has posed a threat to China’s ecological security and the rights of people’s lives and health. However, the system of the source disclosure of genetic resources established by China’s Patent Law, as well as the use of contractual mechanisms to achieve access to Chinese materia medica genetic resources and benefit-sharing, are both inadequate and unable to effectively deal with the problem of bio-piracy. Therefore, in order to safeguard the rights and interests,China, as a party to the Convention on Biological Diversity and the Nagoya Protocol, should formulate or improve the domestic laws following the legal rules established by the above-mentioned international treaties and China’s national conditions. Related initiatives may include taking the source disclosure as a formal condition for the patent grant, expanding the target and scope of the disclosure, and imposing legal liability for defect disclosure; clarifying the subjects of rights to Chinese materia medica genetic resources, and introducing public authority to “monitor” the signing and implementation of contracts to ensure fair and equitable benefit-sharing.

生物遗传资源在保持生物多样性、维系国家生态安全以及保障人民生命健康方面有着重要作用。随着生物技术的迅速发展,世界各国农业、医药以及环境等领域对生物遗传资源的依赖程度不断加深,但由于各国生物资源各异、生物技术发展不均衡以及遗传资源获取和惠益分享(access and benefit-sharing,ABS)制度不完善等,导致部分生物技术公司、科研机构等凭借资金和技术优势,未经遗传资源拥有方的许可和同意,获取并开发利用遗传资源,再借助现代知识产权规则从发展中国家攫取巨额利润。国际上一般将这种行为称为“生物剽窃”(bio-piracy)[1]。生物剽窃极大地损害了包括中国在内的生物多样性丰富的发展中国家的利益。为此,1992年,联合国环境和发展大会通过《生物多样性公约》(Convention on Biological Diversity,CBD),并将“公平合理分享由利用遗传资源而产生的惠益”定为CBD的三大目标之一。同时规定,缔约国对生物遗传资源拥有主权,其他缔约国须经提供遗传资源的缔约国事先知情同意(prior informed consent)方可取得相关生物遗传资源,并按照共同商定的条件(mutually agreed terms)进行惠益分享。为了更好地实现遗传资源ABS目标,CBD第十届缔约方大会通过了《〈生物多样性公约〉关于获取遗传资源以及公平合理地分享利用遗传资源所产生的惠益名古屋议定书》(以下简称为《名古屋议定书》)。中国作为CBD和《名古屋议定书》的缔约方,生物多样性保护工作近年来取得了显著成效,但由于我国专门性生物遗传资源ABS法律制度的缺失,导致生物剽窃在农业、医药以及化妆品等多个领域仍频繁发生,尤其以中药领域的生物剽窃居多。相关统计表明,涉及中国的生物剽窃案例中有一半以上与中药相关[2]。因此,当前在CBD和《名古屋议定书》框架下阐释中药遗传资源ABS法律机制,防止相关机构对我国中药遗传资源进行生物剽窃就显得十分紧迫和必要。
界定中药遗传资源ABS及其相关术语是探讨中药遗传资源ABS法律制度的前提和基础。中药遗传资源ABS由“中药”“遗传资源”“ABS”3个术语构成,因此,有必要对三者予以清晰的界定。
中医药学术上,中药一般是指在中医理论指导下,用于预防、治疗、诊断疾病并具有康复与保健作用的物质,包括中药材、中药饮片和中成药[3]。立法实践中,我国现行法律尚没有明确界定“中药”的内涵。《药品管理法》(2019年第二次修订)在界定“药品”时直接使用“中药”一词,但未作进一步解释。此后,《药品管理法实施条例(修订草案征求意见稿)》(以下简称《条例征求意见稿》)虽然将“中药”界定为“在中医药理论指导下使用的药用物质及其制剂,包括中药材、中药饮片、中药配方颗粒和中成药等”,不过,《条例征求意见稿》尚未颁布实施,而且该概念也存在一些问题,如中药配方颗粒是传统中药饮片创新性的应用形式[4],属于特殊规格的中药饮片,与中药饮片同列似有不妥。因此,结合中医药学术上关于“中药”的概念,在立法实践中,“中药”宜指“在中医药理论指导下使用的药品,包括中药材、中药饮片和中成药”。
不同国家和学者对“遗传资源”的概念有不同的认识,但是一般认为,CBD的定义比较权威[5]。CBD第2条分别对“遗传资源”和“遗传材料”进行了界定。其中,“遗传资源”是指具有实际或潜在价值,来自植物、动物、微生物或其他来源的任何含有遗传功能单位的材料。不过,这一概念不够周延,例如中药有效成分主要是生物化学化合物[6],却不在上述“遗传资源”的概念范围内,故难以防止基于中药有效成分的生物剽窃。《名古屋议定书》进一步拓展了“遗传资源”的范畴,提出“衍生物”的概念,将“遗传资源”界定为“由生物或遗传资源的遗传表现形式或新陈代谢产生的、自然生成的生物化学化合物,即使其不具备遗传的功能单元”,这为中药有效成分获得保护提供了可能。另外,《名古屋议定书》不仅适用于利用遗传资源产生的惠益,还适用于利用遗传资源相关的传统知识产生的惠益。与遗传资源相关的传统知识和遗传资源密不可分,是遗传资源的一部分,这在中药领域体现得尤为明显。例如,通过炮制可以改变中药材的药性,起到减毒增效的作用,从而更好地满足中医临床需求。经炮制后的中药
饮片是遗传资源的载体,而炮制则是传统的制药技术,属于传统知识的一部分。与遗传资源相关的传统知识应当涵摄于遗传资源之中,因此,从广义上看,中药遗传资源至少应当涵盖以下内容:(1)中药资源类产品,如中药材、中药饮片以及中药提取物等;(2)中药遗传材料,如中药材种子种苗、活体、基因以及与之相关的生物信息等;(3)中药有效成分,如单体化合物等;(4)与中药相关的传统知识,如炮制技术、本草知识等[6]
ABS作为CBD的三大目标之一,亦为各国实现遗传资源的可持续利用提供了国际法框架和基础。可以说,遗传资源获取决定了其后的惠益分享。不过,CBD和《名古屋议定书》未对“获取”和“惠益”给予明确界定,但是对如何“获取”和“惠益分享”分别进行了规定。根据上述两个国际文件,遗传资源的获取需要取得遗传资源提供国的事先知情同意并与之订立共同商定的条件,而分享的惠益应包括利用遗传资源而产生的惠益,以及嗣后的应用和商业化所产生的惠益[7],包括货币性和非货币性惠益。据此可知,ABS是指遗传资源利用方为了科研、保护以及商业开发等目的,经遗传资源提供方事先知情同意后取得和利用遗传资源,并在此基础上按照共同商定的条件,公平、公正地分配因利用遗传资源而产生的惠益。
履约是一项国际义务,我国作为CBD和《名古屋议定书》的缔约国,其本质上要求有相应的国内立法与之相衔接。同时,我国是世界上生物多样性最丰富的国家之一,我国已经不仅是生物遗传资源的提供国,也是利用国,在生物技术领域取得了一系列创新发展[8],与欧美国家的差距正在逐步缩小。这一现实情况也要求我国对遗传资源ABS进行国内立法。目前,虽然我国尚未制定专门的遗传资源ABS法律制度,但是与生物遗传资源相关的法律框架已逐渐形成。在法律层面,《宪法》《专利法》《生物安全法》《野生动物保护法》《畜牧法》《种子法》《中医药法》等都为合理利用遗传资源提供了法律依据。其中,《畜牧法》是我国第一部明确规定遗传资源ABS法律问题的法律[9],而《中医药法》则对中医药传统知识的ABS进行了原则性规定,且以“中医药传统知识持有人”的提法回避了对中医药传统知识所有人的认定,为构建中药遗传资源ABS法律制度提供了一种思路。在行政法规层面,我国已经颁布实施的与遗传资源ABS有关的法律文件包括《野生药材资源保护管理条例》 《植物新品种保护条例》《野生植物保护条例》《畜禽遗传资源进出
境和对外合作研究利用的审批办法》等。另外,我国一些地方也在开展遗传资源ABS的试点,并且制定了有关遗传资源ABS的地方性法规,如《云南省生物多样性保护条例》《湘西土家族苗族自治州生物多样性保护条例》《广西壮族自治区生物遗传资源及其相关传统知识获取与惠益分享管理办法(试行)》等。这些地方性法规不仅是地方遗传资源ABS的法律依据,亦为我国制定遗传资源ABS法律制度提供了地方样本。
来源披露是实现事先知情同意和惠益分享的重要措施。我国《专利法》2008年第三次修正时引入了遗传资源来源披露制度,这对防止生物剽窃有着重要作用,但是该制度只是构建了一种防御性机制,无法全面解决中药遗传资源ABS问题,况且该制度本身也存在一些值得商榷的问题:
一项与遗传资源相关的发明创造若要获得专利必须满足专利授权的实质性条件,即符合“三性”标准(新颖性、创造性、实用性),至于该发明创造是基于何种物质材料而产生,则不应该成为禁止专利授权的条件。因为与发明创造本身违反法律、社会公德或妨害社会公共利益不同的是,遗传资源的获取是发明创造前的行为,处于物质技术准备阶段,即使以非法获取的遗传资源完成的发明创造也往往会给国家和社会带来巨大的积极利益[10]。另外,专利制度本质上要求促进技术创新,平衡专利权人和社会公众的利益。《专利法》中刚性的、强制性的来源披露制度虽然有其必要性,但是将其作为专利授权的实质性条件却忽略了专利申请人和遗传资源权利人的利益,从而可能落入自反性困境:若一国内专利被拒绝授权就不会产生任何收益,遗传资源提供方当然也不能因此获得任何收益;而由于专利的地域性,该专利申请人虽不能在我国获得专利授权,但是不妨碍其在其他国家或地区的专利申请和授权。在此情形下,遗传资源权利人仍然难以获得因遗传资源利用而产生的收益。
《专利法》将来源披露的对象明确为“遗传资源”,《专利法实施细则》第二十六条对“遗传资源”的解释与CBD保持一致,将“遗传资源”等同于“遗传材料”,不包括衍生物及与遗传资源相关的传统知识,而两者恰恰对中药功效的发挥有着重要影响。以中医药传统知识为例,在防治COVID-19病毒的公共卫生事件中,以“三方三药”(“三方”是指清肺排毒汤、化湿败毒方、宣肺败毒方;“三药”是指金花清感颗粒、连花清瘟颗粒/胶囊、血必净注射液)为代表的中医药发挥了较好的疗效,其中“三方”中的清肺排毒汤源自《伤寒杂病论》中的方剂组合,体现了中医药传统知识的现代运用。在现行的来源披露制度下,若以清肺排毒汤为基础申请专利,专利申请人只需披露组成清肺排毒汤的中药(如麻黄、炙甘草、杏仁、桂枝等)的直接来源和原始来源,对于影响清肺排毒汤组方所依据的辨证论治与辨病论治的传统中医药知识可以不予披露,而这种组方知识却是能够将各味中药组合起来发挥增效减毒作用的重要手段。在一定程度上,中药复方中蕴含的组方知识比中药遗传资源本身更为重要,同时也凸显了中药遗传资源及相关传统知识的特殊性。不过,由于与中药遗传资源相关的传统知识被排除在《专利法》要求的披露范围之外,相关权利人难以获知该传统知识的利用情况,直接影响其惠益分享权利的实现。
《专利法》第五条第二款规定:对违反法律、行政法规的规定获取或者利用遗传资源,并依赖该遗传资源完成的发明创造,不授予专利权,即“违法不授权”,其法律后果是驳回专利申请或宣布专利无效。不过,我国尚未制定专门的遗传资源ABS法律制度,与之相关的条款散见于诸多法律法规之中。就中药而言,《中医药法》仅原则性地规定了中医药传统知识持有人享有知情同意和利益分享等权利,至于如何行使知情同意权以及嗣后如何进行惠益分享则未做进一步规定,况且《中医药法》中使用的是“中医药传统知识”一词,其不能等同于中药遗传资源,“中医药传统知识持有人”亦不能与“中药遗传资源权利人”划等号。另一个与中药相关的法律文件——《野生药材资源保护条例》是在我国参加CBD之前就已经颁布实施,主要用于规范野生药材资源的采(狩)猎和国内外贸易等,并未直接规定中药遗传资源ABS的相关内容。从整体上看,上述两个有关中药的法律文件中的相关内容均为原则性规定,操作性有所欠缺,难以与《专利法》的“违法不授权”形成有效闭环。另外,《专利法》第二十六条第五款要求专利申请人应披露遗传资源的原始来源和直接来源,如果未充分披露则专利申请可予以驳回,但是对因瑕疵披露(比如对来源的说明存在不实成分,或者对事先知情同意的相关证据进行刻意回避等)而获得授权的情形却无法据此否认该专利的有效性[11],从而影响到该法律条款的实施效果。
除了知识产权保护模式外,合同机制是实现中药资源ABS的一种积极型策略。《名古屋议定书》第十九条规定了示范合同条款,希望通过促进示范合同条款的使用,使各国协商和利用遗传资源的方式趋于一致,以便为遗传资源的利用者和提供者带来更多的法律确定性,减少交易成本,进而使ABS更为公平和公正[7]。同时,利用合同机制实现遗传资源的ABS也是以美国为代表的发达国家所极力主张的一种方式。在合同机制下,中药遗传资源的提供者和利用者可以在国内法律框架下自由、平等对话,借助合同对包括ABS的方式、比例以及基于中药遗传资源所产生的知识产权归属等在内的双方的权利和义务进行约定[12]。不过,由于我国中药遗传资源的权利构造尚未有统一的标准和尺度,利用合同机制实现中药遗传资源ABS仍然有些亟待解决的问题:
在市场交易活动中,合同是规范财产流转的重要形式,而主体明确、产权清晰又是进行正常市场交易活动的前提[13]。因此,以合同机制实现遗传资源ABS本质上要求遗传资源的权属清晰。虽然CBD和《名古屋议定书》确立了遗传资源国家主权原则,但是遗传资源的所有权问题仍需要在国内立法中予以回应。目前,我国对遗传资源权利主体问题的探讨仍停留在理论层面,尚未在国家层面付诸立法实践。立法的缺失必然导致实践中无法可依。在郑某诉云南某制药公司一案中[案号:(2020)最高法民申2509号],原被告双方就原告是否属于中医药传统知识持有人进行了激烈的辩论,法院最终认定案涉药品的方剂、制法等已经转化为全民所有,原告不享有知情同意和利益分享的权利。“全民所有”并不能明确指向具体的权利主体,同时意味着案涉药品相关的传统知识已经进入公共领域,其可能会带来一个问题:如果国外生物技术公司利用了案涉药品相关的遗传资源及传统知识,那么应当由谁享有ABS的权益?在此情形下,遗传资源的利用方若要在获取和利用遗传资源前取得利益相关方的事先知情同意、共同商定条件以及进行惠益分享也难以确定真正的权利人,更无法与之签订合同。反之,中药遗传资源相关利益方若要向遗传资源利用方主张惠益分享就要证明自己是权利主体,亦困难重重。这也是造成我国中药遗传资源大量流失的重要原因。一项针对人参、八角莲、喜树、杜仲、厚朴、防风、泽泻等26种我国传统种植和使用的中药植物(菌类)的调查表明,在与之相关的160个国际专利中,共有132个专利为外国所有,其中33个外国专利在中国申请实施,但是未见有外国公司与相关利益方签订ABS合约[14]。由于中药遗传资源法律制度不完善,尤其是权利主体不明确,相关利益方难以就专利实施中获取的利益向外国公司主张惠益分享。
即使中药遗传资源权利主体明确,在签订合同的过程中仍然有可能出现不公正的情况。合同以“意思自治”为核心,充分尊重合同双方的意思表示。这就要求合同双方具有同等或相当的谈判能力。但是在遗传资源ABS的谈判中,遗传资源利用方因掌握资金、技术以及相关知识信息而占据谈判优势,遗传资源提供方则往往无力利用合同来调节对利益的有效分享[12]。例如,在“金龙胶囊事件”中,由于金龙胶囊的所有者资金和技术有限,想要利用他人的优势共同研发并拓展境外市场,在仅有口头协议的情况下就将药粉交给他人,最终导致中药遗传资源的流失而自己没有得到任何惠益分享[16]。不仅在国内,其他国家亦有此先例。例如,巴西在遗传资源ABS立法、防止生物剽窃等方面处于世界领先地位,但是巴西在遗传资源ABS方面也曾遭遇此类不公正。巴西的社会组织生物亚马逊(Bioamazonia)曾与瑞士诺华制药公司签订了一份遗传资源ABS合同,约定由诺华制药公司提供设备赞助,在亚马逊地区进行大范围的微生物采集、收集、分离和鉴定,而生物亚马逊授权诺华制药公司获取和独家使用相关微生物,诺华制药公司据此研发医药产品。但是该合同被认为有损巴西的利益,在负面舆论中,诺华制药公司和生物亚马逊被迫取消合同[17]。该事件中,作为遗传资源利用方只提供设备赞助金额,最终却可以取得遗传资源的独家使用权并据此开发医药产品,其预期可获得收益实际上可能远大于赞助,对于遗传资源提供方而言显然是不公正的,这或许是该合同被迫取消的重要原因。
从公平性角度来看,实行中药遗传资源的强制性来源披露有其正当性基础;同时,强制性来源披露亦有其国际实践样本可循。目前,世界范围内的遗传资源来源披露主要有3种模式:一是强制披露,即无披露不授权,如印度;二是弱式披露,即鼓励披露,但不强制,如欧盟;三是单独披露,披露义务不妨碍专利授予和有效性,如挪威[18]。目前,我国来源披露模式与印度类似。不过,由于将来源披露作为专利授权的实质性条件可能导致自反性困境,
因此,将来源披露作为专利授权的形式条件较为妥当,即对于依赖遗传资源完成的发明创造,专利申请人必须提交材料说明遗传资源的直接来源和原始来源。另外,强制性来源披露的有效实施需要辅之以完善的法律责任体系,否则其强制作用将会遭到极大削弱。申言之,针对来源披露中不同的行为应当依法追究不同的法律责任:一是专利申请人未披露之责任,若在专利授权前则可以驳回申请;若在已经取得专利授权的情况下则可视为欺诈而撤销其专利授权;二是对因瑕疵披露而获得专利授权的应视为欺诈而撤销其专利授权。
《专利法》将来源披露的对象限定为遗传资源也许适合某些生物遗传资源,但是不利于中药遗传资源的ABS。一是使中药发挥药效的主要是化合物,对制药工业具有重要价值,属于“衍生物”的范畴。《名古屋议定书》不仅对“衍生物”给予了明确定义,也通过定义“利用遗传资源”促使发达国家和发展中国家达成了以下共识:遗传资源的实际或潜在价值不仅在于其遗传组成,还在于其生物化学组成(相当于衍生物)[19]。因此,对我国《专利法》中的“遗传资源”进行扩张解释,使其涵盖“衍生物”具有正当性基础。二是中药发挥最优疗效往往不仅依靠中药本身,还要借助“外力”的作用。如上文所言,中药炮制可以改变药性和(或)降低毒性以及中医按照“君臣佐使”原则对中药进行组方,两者都是使中药发挥临床作用的重要前提。如果来源披露的对象仅为中药遗传资源,则是人为地割裂了中药遗传资源与其相关传统知识的联系,直接影响到中药遗传资源提供方在惠益分享中可以获得的利益。因此,来源披露的对象应当延伸至中药遗传资源相关的传统知识,即与中药相关的专利申请应当披露中药遗传资源及其传统知识的直接来源和原始来源。
将事先知情同意证据纳入披露范围有助于保证遗传资源获取的合法性,从而达到公平和公正地进行惠益分享。CBD和《名古屋议定书》明确要求遗传资源利用方在获取遗传资源时应当经过遗传资源提供方的事先知情同意。事先知情同意最早被提出是在医疗程序中。由于医疗的专业性,患者在医疗中处于弱势地位,此时通过赋予患者知情权和同意权使之在充分获得与己相关的医疗信息的基础上作出符合自身利益的决策,能避免因医患双方信息不对称而损害患者合法权益。CBD和《名古屋议定书》中的事先知情同意与之类似,其目的亦为保证遗传资源提供方和利用方在信息对等的基础上共同商定条件,从而进行公平和公正的ABS。在专利申请中,要求遗传资源利用方披露事先知情同意证据可以有效防止因滥用遗传资源而获得专利授权,即确保遗传资源合法获取,可以为遗传资源提供方获得惠益分享提供“监测”。
目前,无论在理论上还是实践中都没有形成统一的中药遗传资源权利主体的认定原则和规则。理论上,学界关于遗传资源权利主体问题有国家拥有、个人所有和集体持有等3种主要观点[20]。而关于中医药传统知识权属问题,有学者指出:能够具体为个人或集体所有的应明确为个人或者集体所有,无法明确为个人或者集体所有的归国家所有[21],这一观点有其合理性,但是中药遗传资源的形态比中医药传统知识复杂,是物质性和非物质性的结合,不仅包括与之相关的非物质性的传统知识,还包括物质性的遗传材料和衍生物。因此,如何在国家、集体和个人之间分配所有权以确定中药遗传资源权属仍然需要深入讨论。笔者认为,基于中药遗传资源的特殊性,其权属认定原则应当以国家所有为主、集体和个人所有为辅,具体如下:第一,关于物质性的中药遗传资源权属,根据我国《宪法》和《民法典》等法律规定属于国家所有的野生动植物资源属于国家所有。虽然上述法律对于属于国家所有的野生动植物范围未能予以明确,但是通过分析《野生动物保护法》《野生植物保护条例》以及《野生药材资源保护管理条例》可知,来源于列入国家重点保护名录的野生动植物药材资源由国家所有,在集体经济组织所有或承包的区域内天然生长或种植养殖的其他药材资源由集体所有,个人合法狩猎、采猎或种植养殖获取的其他药材资源归个人所有。第二,关于非物质性的中药遗传资源相关的传统知识权属,已经进入公共领域且尚不能明确权利主体的传统知识(如大部分中药炮制技术)由国家所有;虽已经进入公共领域但长期在某一地区使用的传统知识(如道地药材的种植养殖技术)由集体所有;个人通过家庭传承获得的传统知识(如中药保密配方)由个人所有。
由于资金、技术以及谈判能力等因素的影响,单一合同模式难以保证中药遗传资源ABS合同的公正性,此时就有必要借助“外力”——公权力,来矫正合同机制中的失衡,即依据《民法典》的规范,适度干预合同行为。具体而言,一是制定示范性合同,合同条款至少应包括获取遗传资源的种类、范围、用途、惠益形式、比例和分配方式等,保证合同形式公平。二是建立合同监管机制,指导中药遗传资源权利人签订合同,提高其在合同磋商过程中的谈判能力。同时,对合同的履行情况和遗传资源的利用后续进行跟踪监测,防止以科学研究为目的签订合同但实际进行商业利用,造成中药遗传资源权利人利益损失[18]。三是建立合同机制与来源披露的衔接机制,而该机制的关键点是在来源披露中审查事先知情同意证据时要求中药遗传资源利用方提供ABS合同,以使中药遗传资源利用方向提供方提供更多的信息,消解合同磋商过程中的信息不对称。
中药遗传资源属于生物遗传资源,在遗传资源的ABS上与之有共性问题,但是中药自身的特点亦为其带来特殊性问题。目前,我国尚未颁布生物遗传资源ABS法律制度,而中药遗传资源作为生物剽窃的重点对象理应得到更多的关注和重视。因此,在现有的法律框架下,优化和协调《专利法》中的来源披露制度和合同机制以有效实现中药遗传资源ABS不失为一种可选择路径。在来源披露方面,《专利法》及其相关法律制度可以采用相对宽松的标准,将来源披露作为专利授权的形式条件,并针对来源披露中不同的违法行为追究不同的法律责任。同时,扩大来源披露的对象和范围,将衍生物和与中药遗传资源相关的传统知识作为披露对象,并审核事先知情同意证据。在合同机制方面,首先要确定中药遗传资源权利主体,其次是借助公权力,依据《民法典》制定示范性合同,建立合同监管机制,并与来源披露制度相衔接,以实现公平、公正地进行合同磋商以及履行合同。总之,中药遗传资源的ABS既要在生物遗传资源的整体制度框架中予以规制,又不可忽视其特殊性,两者兼顾才是中药遗传资源生物剽窃问题的解决之道。
